Board of Directors

Composition & Tenure of the Board

The PHA Act requires that the Board of Directors of the Authority consists of:

  • The Chairman and the Deputy Chairman appointed by the Minister;
  • The Managing Director of the Authority (ex officio);
  • A representative of the Ministry of Health appointed by the Minister; and
  • Not more than seven but not less than three other persons representing trade unions, financial, industrial, commercial, or other institutions and professional organizations and members of the general public appointed by the Minister and referred to as “appointed members”.

All members other than ex officio members of the Authority shall hold office for a period not exceeding three years, and not less than one year, but shall be eligible for reappointment.

Standing Committees of the Board

Strategic Planning & Public Relations Committee:

The Strategic Planning and Public Relations Committee is an advisory body of the Board of the Public Hospitals Authority. Its purpose is to: Provide general oversight of, and guidance to organizational systems for:

  • strategic planning and business development;
  • information systems development, and
  • public relations;
  • Monitor and evaluate all relevant policy and strategic-level undertakings in these areas; and
  • Duly guide the Board’s decisions as regards the revision and/or approval of relevant matters.
The goal in establishing this committee is to ensure that the strategic plans of the Authority are appropriately focused, clearly articulated and consistently and effectively applied to achieve the national objectives.

Policy, Byelaws & Legal Affairs Committee:

  • Review policies and legal matters which relate to the governance and general operations of the Public Hospitals Authority to ensure compliance with the Public Hospitals Authority Act and any other relevant rules and regulations.
  • Reviews and evaluates risk management policy matters to ensure compliance with institutional quality control and operational standards.
  • Regular reporting to the Board on significant medico-legal matters and institutional risk management trends with appropriate recommendations.
  • Auditing (collecting and reviewing) all major policies to ensure compliance with relevant legislation.

Finance & Audit Committee:

The Finance Committee reviews short, intermediate and long range financial plans of the PHA. It reviews proposals for financing acquisitions, major new programs, or projects and other arrangements requiring large capital investments as specified in the financial rules.

It reviews financial accounting systems and reports, the revenue collection performance, the annual audit reports and it monitors the employee pension fund.

Human Resources Committee:

The Human Resources Committee will review Human Resources policies, retirement and pension plan, recognition agreements and benefits programs for the PHA and make recommendations for Board approval. The committee will also review and propose changes for wage and salary structures. The Human Resources Committee will serve as the first court of appeal according to the Human Resource policy.

Medical Affairs Committee:

The Medical Affairs Committee will review all matters related to the governance and conduct of the medical staff.

It will be a joint committee of Medical Administrative Staff and Board members. The Medical Affairs Committee will service as a forum for discussion of Board and medical staff policy. The Committee will also review the reports of the PHA peer review committee; and the statute compliance, quality and risk management reports and make recommendations to the full Board. It will also review the institutional policies for medical manpower.

Joint Committee of Health Agencies:

The Joint Committees of Health Agencies will ensure that there is ongoing and regular dialogue between the PHA, Ministry, Public Health Department and the agencies of the Ministry of Health.

Hospital Redevelopment Committee:

The Hospitals Redevelopment Committee will serve as the steering committee for the redevelopment of the three hospitals and will review and make recommendations to the Board on proposals submitted by Consultants for major renovations, pre-construction and construction programs.
